Veritiv expands through acquisition of Orora Packaging Solutions

The American packaging specialist Veritiv Operating Company has successfully completed the acquisition of Orora Packaging Solutions (OPS) to further enhance its expertise in specialty packaging distribution. This follows the signing of a binding agreement on September 3, 2024, focusing on Orora's North American packaging and distribution business. With this acquisition, Veritiv reinforces its commitment to developing innovative and sustainable packaging solutions for its customers. Sal Abbate, CEO of Veritiv, emphasized the importance of completing this purchase as another step in enhancing customer value. He stated, "Veritiv and OPS will jointly leverage our commitment to innovation, sustainability, and excellent customer experiences to offer an even broader range of specialized packaging products and value-added solutions." As a result of the acquisition, nearly 3,000 employees, customers, and suppliers of OPS are now part of Veritiv Operating Company. Kelly Barlow, President of OPS, expressed her anticipation of collaborating with Veritiv and was confident that the combined strengths of the two companies will create significant value for customers, suppliers, and employees. The addition of OPS to Veritiv’s distribution platform opens up expanded customer offerings and value-creation opportunities. In line with Veritiv's recent acquisitions, including Vivabox Solutions, AmeriPac, and PAX Global, the acquisition’s financing was secured by Veritiv's existing group of lenders. Goldman Sachs and Morgan Stanley acted as the primary financial advisors, supported by BMO Capital Markets, RBC Capital Markets, and Wells Fargo. Veritiv was legally advised by the firms Kirkland & Ellis and Debevoise & Plimpton.
